Terms of Service

These Terms of Service govern your access to and use of ERPat — our enterprise platform for human resources, payroll, finance, inventory, and operations. Please read them carefully before using the Service.

Welcome to ERPat. ERPat is a software-as-a-service (SaaS) enterprise resource planning platform operated by BytesCrafter IT Solutions (“ERPat,” “we,” “us,” or “our”). By creating an account, accessing, or using the Service, you agree to be bound by these Terms of Service (the “Terms”).

Please read this carefully. These Terms form a legally binding agreement between you (and, where applicable, the organization you represent) and ERPat. If you do not agree to these Terms, you must not access or use the Service. This document is provided for general information and does not constitute legal advice.

1. Acceptance of These Terms

By registering for, accessing, or using ERPat, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you accept these Terms on behalf of a company, organization, or other legal entity, you represent and warrant that you are authorized to bind that entity, and “you” refers to that entity.

Where you and ERPat have signed a separate written agreement, subscription order, or master services agreement, that agreement governs to the extent it conflicts with these Terms.

2. Definitions

TermMeaning
ServiceThe ERPat platform, including its websites, web and mobile applications, APIs, modules (HR, payroll, finance, inventory, ticketing, kiosk/security, and others), and related documentation and support.
AccountThe registered user or organization (tenant) account used to access the Service.
Customer / ClientThe organization that subscribes to or uses the Service and is the controller of the personal data it processes through ERPat.
Authorized UserAn employee, contractor, or agent the Customer permits to use the Service (e.g., administrators, staff, client contacts).
Customer DataAll data, records, and content that the Customer or its Authorized Users submit to, store in, or generate through the Service, including employee and payroll records.
Personal InformationHas the meaning given under the Philippine Data Privacy Act of 2012 (Republic Act No. 10173).

3. Eligibility & Account Registration

To use the Service you must be at least 18 years old and capable of forming a binding contract under Philippine law. When you register, you agree to provide accurate, current, and complete information and to keep it up to date.

You are responsible for:

  • Maintaining the confidentiality of your login credentials and any one-time passwords or verification codes;
  • All activity that occurs under your Account and your Authorized Users' accounts;
  • Promptly notifying us at [email protected] of any unauthorized access or suspected security incident; and
  • Ensuring that each Authorized User complies with these Terms.

For multi-tenant deployments, each Customer is provisioned a separate, logically isolated tenant. You must not attempt to access another tenant's data or environment.

4. The ERPat Service

ERPat provides a modular enterprise platform that may include human resource information, payroll computation, attendance and timekeeping, leave management, finance and accounting, inventory and warehousing, procurement, sales, customer relationship management, ticketing, and kiosk/security tools. The specific modules available to you depend on your subscription and configuration.

Payroll, tax, and statutory features (for example, computations relating to the BIR, SSS, PhilHealth, and Pag-IBIG) are tools to assist you. You remain solely responsible for the accuracy of your inputs and for verifying that outputs comply with applicable laws, regulations, and your obligations as an employer. ERPat does not provide accounting, tax, or legal advice.

5. Subscriptions, Fees & Billing

Access to paid features requires a valid subscription. Fees, billing cycles, and included usage are set out in your order or plan. Unless otherwise stated:

  • Fees are stated in the currency shown at checkout and are exclusive of applicable taxes (such as VAT), which you are responsible for;
  • Subscriptions renew automatically for successive terms unless cancelled before the renewal date;
  • Fees already paid are non-refundable except where required by law or expressly stated; and
  • We may change pricing on reasonable prior notice, effective at your next renewal.

If fees are overdue, we may suspend access after reasonable notice. Free trials, where offered, may be modified or discontinued at any time.

6. Your Content & Data

As between you and ERPat, you retain all rights, title, and interest in your Customer Data. You grant ERPat a limited, non-exclusive, worldwide license to host, process, transmit, display, and back up Customer Data solely to provide, secure, support, and improve the Service, and as instructed by you through your use of the Service.

You represent and warrant that you have all rights, consents, and lawful bases necessary to submit Customer Data to the Service and to authorize our processing of it, including any personal information of your employees and other data subjects. Our handling of personal information is described in our Privacy Policy.

You are responsible for maintaining your own copies of critical records. While we maintain backups as part of the Service, you should export and retain data you are legally required to keep.

7. Acceptable Use

You agree not to, and not to permit any Authorized User or third party to:

  • Use the Service in violation of any applicable law, including the Data Privacy Act of 2012, the Cybercrime Prevention Act of 2012 (RA 10175), the E-Commerce Act (RA 8792), labor laws, or tax regulations;
  • Upload or transmit malware, or attempt to gain unauthorized access to the Service, other tenants, or related systems;
  • Probe, scan, or test the vulnerability of the Service, or circumvent any security or authentication measure, except under a written authorized-testing agreement with us;
  • Reverse engineer, decompile, or copy the Service or its underlying software, except to the extent this restriction is prohibited by law;
  • Resell, sublicense, or provide the Service to third parties except as expressly permitted;
  • Use the Service to store or transmit unlawful, infringing, defamatory, or harmful content; or
  • Interfere with or disrupt the integrity or performance of the Service, including through excessive automated requests.

8. Intellectual Property

The Service, including all software, designs, text, graphics, logos, and the ERPat name and marks, is owned by ERPat and its licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. Any feedback or suggestions you provide may be used by us without restriction or obligation to you.

9. Data Privacy & Protection

ERPat complies with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173), its Implementing Rules and Regulations, and issuances of the National Privacy Commission (NPC).

For personal information that you submit about your own employees and other data subjects, you generally act as the Personal Information Controller (PIC) and ERPat acts as your Personal Information Processor (PIP), processing such data only on your documented instructions. For information about the people who register accounts directly with us, ERPat acts as a PIC. These roles and our safeguards are described in detail in our Privacy Policy. 10. Availability, Support & Maintenance

We aim to keep the Service available and reliable and to provide support through the channels we designate (for example, [email protected]). We may perform scheduled or emergency maintenance, and we will use reasonable efforts to limit disruption and to provide advance notice of planned downtime where practicable. Specific service-level commitments, if any, are stated in your order or a separate service-level agreement.

11. Third-Party Services

The Service may integrate with or link to third-party products and services (such as email, SMS, payment, cloud storage, and authentication providers). Your use of those services is governed by the third party's terms and privacy policies. We are not responsible for third-party services and do not control them. Enabling an integration may authorize the exchange of data between ERPat and that third party as needed to provide the feature.

12. Confidentiality

Each party may receive non-public information of the other (“Confidential Information”). The receiving party will use Confidential Information only to perform under these Terms and will protect it using at least reasonable care. Customer Data is your Confidential Information. These obligations do not apply to information that is or becomes public through no fault of the receiving party, was lawfully known beforehand, or is independently developed, and do not prevent disclosure required by law or lawful order.

13. Disclaimers & Warranties

To the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements, or that computations will be free from error. Some warranties may not be excludable under applicable law; in that case, such warranties are limited to the minimum extent permitted.

14. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, goodwill, or data, arising out of or related to these Terms or the Service, even if advised of the possibility of such damages.

To the maximum extent permitted by law, ERPat's total aggregate liability arising out of or related to these Terms or the Service will not exceed the total fees you paid to ERPat for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for willful misconduct or gross negligence.

15. Indemnification

You agree to indemnify and hold ERPat and its officers, employees, and agents harmless from claims, damages, liabilities, and reasonable expenses (including attorney's fees) arising from your Customer Data, your use of the Service, your violation of these Terms, or your violation of any law or the rights of a third party, including data privacy rights.

16. Suspension & Termination

You may stop using the Service and close your Account at any time. We may suspend or terminate your access if you materially breach these Terms, fail to pay fees when due, or if your use poses a security or legal risk, generally after notice and an opportunity to cure where reasonable.

Upon termination, your right to use the Service ends. We will make Customer Data available for export for a limited period after termination as described in our Privacy Policy or your order, after which we may delete it in the ordinary course, subject to legal retention requirements and our backup cycles.

17. Changes to the Service & These Terms

We may update, improve, or modify the Service from time to time. We may also amend these Terms; when we do, we will revise the “Last Updated” date above and, for material changes, provide reasonable notice (for example, by email or in-product notice). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. Electronic Communications & Signatures

You consent to receive communications from us electronically, including notices, agreements, and disclosures. Consistent with the Electronic Commerce Act of 2000 (Republic Act No. 8792), you agree that electronic records, click-through acceptances, and electronic signatures satisfy any legal requirement that communications be in writing or signed, to the extent permitted by law.

19. Force Majeure

Neither party is liable for failure or delay in performance (other than payment obligations) caused by events beyond its reasonable control, including acts of God, natural disasters, typhoons, power or internet outages, government action, labor disputes, pandemics, or third-party service failures.

20. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. The parties will first attempt to resolve any dispute amicably through good-faith discussions. If unresolved, the dispute shall be submitted to the exclusive jurisdiction of the competent courts of the Philippines, unless the parties have agreed in writing to arbitration. Nothing prevents either party from seeking injunctive relief to protect its intellectual property or Confidential Information.

21. General Provisions

  • Entire agreement. These Terms, together with the Privacy Policy and any order or written agreement, are the entire agreement between the parties regarding the Service.
  • Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
  • Waiver. Failure to enforce a provision is not a waiver of the right to enforce it later.
  • Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
  • No third-party beneficiaries. These Terms do not create rights for any third party except as expressly stated.
